Terms of Service

1. Acceptance & Eligibility

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "Developer", "Advertiser", or "you") and AdMyChat Network ("AdMyChat", "Company", "we", "us", or "our"), governing your access to and use of admychat.com, our developer portal, advertiser management system, browser extensions, IDE extensions, command-line interfaces (CLI), and telemetry APIs (collectively, the "Platform").

By creating an account, clicking "Sign In", installing any AdMyChat extension or tool, or interacting with our APIs, you represent and warrant that:

• You are at least 18 years of age (or have reached the legal age of majority in your jurisdiction of residence);
• You possess the legal capacity to enter into a binding contract; and
• If you are accepting these Terms on behalf of an enterprise, company, or other legal entity, you possess full legal authority to bind that entity to this Agreement.

If you do not agree to all terms and conditions set forth herein, you must immediately cease all access to the Platform, uninstall all extensions, and discontinue use of all issued API credentials.

2. Reward Tiles, Telemetry & Discretionary Earnings

AdMyChat enables registered developers to monetize active coding and browser attention by displaying non-intrusive sponsorships. The economic mechanics and accrual rules governing the Platform are as follows:

• Promotional Credit Characterization: Attention heartbeat signals ("ticks") and accumulated microdollar balances ($µ) displayed in your developer wallet represent conditional, revocable promotional reward credits. They do not constitute property, legal tender, banked deposits, or debt obligations of the Company until successfully reviewed, audited, approved, and disbursed following an administrative cash-out settlement.
• Revenue Share & Discretionary Rate Adjustments: The baseline standard revenue share is established at 75% of net advertiser spend (100 µ$ = $0.000100 per valid 5-second active heartbeat). The Company reserves the unrestricted right to modify, adjust, taper, recalculate, or terminate reward rates, pricing tiers, minimum cash-out thresholds (currently established at $15.00 USD), and supported payout disbursement channels at any time with or without prior notice.
• Disbursement Review & Minimum Thresholds: Cash-out withdrawal requests may be initiated only when your approved wallet balance meets or exceeds $15.00 USD. All withdrawals are subject to anti-fraud auditing and administrative verification prior to final settlement.

3. Anti-Fraud, Acceptable Use & Balance Forfeiture

The economic integrity of the AdMyChat network depends upon authentic developer engagement. We maintain an absolute zero-tolerance policy against artificial manipulation, botting, and synthetic traffic generation.

Prohibited Conduct: You strictly agree not to:

• Generate, inject, or automate synthetic telemetry heartbeats using background scripts, headless browsers, virtual machines, emulators, macro tools, or automated test runners;
• Route telemetry or API requests through commercial cloud datacenter hosting providers (including AWS, GCP, Azure, DigitalOcean, Hetzner, OVH, or Linode), proxies, or residential proxy farms;
• Create or operate multiple accounts, Sybil networks, or fraudulent referral farming rings;
• Reverse-engineer, decompile, tamper with, or manipulate extension client code, token issuance routines, or SHA-256 HMAC verification signatures; or
• Simulate false ad impressions, artificial click-throughs, or misleading engagement metrics.

Remedies & Mandatory Forfeiture: Any violation of this Section, or any detection of suspicious activity by our automated anti-cheat filters, gives AdMyChat the immediate, unilateral right to:

1. Immediately revoke and deactivate all issued API tokens and device pairings;
2. Permanently ban and suspend the user account, associated payout emails, IP ranges, and device hardware fingerprints; and
3. Declare 100% of unpaid accumulated balances, bonuses, and pending cash-out requests permanently null, void, and forfeited without right of appeal, refund, or monetary compensation.

4. Indemnification (Defense & Hold Harmless)

You agree to defend, indemnify, and hold harmless AdMyChat Network, its parent entity, subsidiaries, affiliates, and their respective directors, officers, employees, contractors, agents, licensors, and service providers from and against any and all claims, demands, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal and attorney fees) arising out of or relating to:

• Your access to or use of the Platform, extensions, CLI statuslines, or developer APIs;
• Your violation of any provision of these Terms or our Privacy Policy;
• Your breach of any third-party terms of service, platform rules, or developer guidelines (including the VS Code Marketplace Terms, Chrome Web Store Developer Agreement, Mozilla AMO Policies, or Anthropic/OpenAI acceptable use policies); or
• Your violation of any applicable municipal, state, national, or international laws or the rights of any third party.

5. Complete Limitation of Liability & Aggregate Cap

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT SHALL ADMYCHAT NETWORK, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF GOODWILL, LOSS OF DATA, WORK STOPPAGE, COMPUTER FAILURE, CORRUPTION OF CODEBASES, OR BUSINESS INTERRUPTION, REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE, OR OTHERWISE), EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

AGGREGATE MONETARY LIABILITY CAP: IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF ADMYCHAT ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR YOUR USE OF THE PLATFORM, UNDER ALL CIRCUMSTANCES AND CAUSES OF ACTION COMBINED, EXCEED THE LESSER OF:

1. FIFTY UNITED STATES DOLLARS ($50.00 USD); OR
2. THE TOTAL MONETARY AMOUNT ACTUALLY DISBURSED BY THE COMPANY TO YOU IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

6. "As-Is" & "As-Available" Warranty Disclaimer

THE PLATFORM, BROWSER EXTENSIONS, IDE PLUGINS, TELEMETRY APIS, ADVERTISER PORTAL, AND CASH-OUT SYSTEMS ARE PROVIDED STRICTLY ON AN "AS-IS" AND "AS-AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

ADMYCHAT EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER STATUTORY, EXPRESS, OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND FREEDOM FROM COMPUTER VIRUSES OR HARMFUL CODE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ACCURATE, COMPLETE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

7. Independent Contractor & Tax Responsibility

The legal relationship between you and AdMyChat is strictly that of an independent contractor. Nothing in these Terms shall be construed as creating an employment relationship, joint venture, partnership, agency, or franchise relationship between the parties.

Exclusive Tax Responsibility: You are exclusively and solely responsible for identifying, calculating, filing, reporting, and remitting all applicable local, state, federal, and international income taxes, Value Added Tax (VAT), sales taxes, self-employment contributions, and statutory social charges arising from any disbursements received from AdMyChat. AdMyChat does not withhold income taxes from developer earnings unless mandated under statutory law.

8. Governing Law, Dispute Resolution & Class Action Waiver

Governing Law: These Terms and any dispute, controversy, or claim arising out of or related to this Agreement or the Platform shall be governed by and construed in accordance with applicable substantive law, without giving effect to any principles of conflicts of law or the United Nations Convention on Contracts for the International Sale of Goods (CISG).

Informal Dispute Resolution: Before initiating any formal legal proceeding, you agree to first contact AdMyChat at [email protected] to attempt to resolve any dispute informally in good faith.

Class Action Waiver: YOU AND ADMYCHAT AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR COLLECTIVE PROCEEDING. NO ARBITRATOR OR COURT MAY CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS OR PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.

9. Modifications to Terms

AdMyChat reserves the right to revise, update, or replace these Terms of Service at any time. When modifications occur, we will update the "Version" and "Effective Date" at the top of this document. Continued use of the Platform following the publication of revised Terms constitutes full and irrevocable acceptance of the updated Agreement.
